General sales and delivery conditions for wholesale customers

1. SCOPE
These general terms and conditions of sale and delivery apply to wholesale deliveries of Kolme Cosmetics Oy's products (hereinafter "Product" or "Products") and related offers, order confirmations and contracts to its customers (hereinafter "Buyer"), unless otherwise separately agreed in writing.
2. DELIVERY
We deliver orders over €400 without delivery costs or billing surcharge. We charge a delivery fee of EUR 9.90 (VAT 0%) for one-time orders of less than €400 made through the online store or the order form. Delivery costs for orders over 25kg are charged separately according to the valid price list. Kolme Cosmetics strives to ship wholesale order Products from stock within 2-4 business days. For larger order quantities (over €2000), the delivery time may be longer and we will contact the customer about this if necessary. Delivery times are indicative and we always strive to deliver the products as quickly as possible.
Unless otherwise agreed in writing, Kolme Cosmetics delivers the Products through Dp Schenker. The buyer must check possible transport damage and the conformity of the delivery with the order when receiving the Product and report any damage or errors. Comments to Kolme Cosmetics must be made within eight (8) days of receiving the Product.
3. PRICE, INVOICING AND PAYMENT
The announced prices in the wholesale trade and in the price list are VAT 0% and value added tax is added to the final amount during invoicing. We send the invoice either by email or as an online invoice. The first wholesale order must be paid in advance before the goods are shipped.
Value added tax and delivery costs are added to the prices indicated in the online store, marketing and other communications, unless otherwise expressly agreed. The prices indicated in marketing and other communications may have changed at the time of placing the order. Kolme Cosmetics is not responsible for these changes. The customer has the obligation to confirm the prices of products and services in advance before ordering.
Kolme Cosmetics has the right to cancel or reject an order for products or services offered with an incorrect price or other incorrect information in the online store or other sales or marketing channels.
In cases of complaints, we ask that you first contact the supplier of the product.
4. OTHER TERMS
The business customer ("customer") undertakes that the products are purchased for the purpose of conducting business. Kolme Cosmetics reserves the right to disable the wholesale account. In addition, the following conditions apply to orders placed via the online store:
The buyer is responsible for protecting his password. When creating a password for the online store, the Buyer confirms that orders made using the Buyer's password are binding on the Buyer. By clicking the "Make an order" button in the last step of the order, the Buyer places a binding order for the Products in the shopping cart.
The business customer does not have the right to cancel the order after the products have been sent or the service has been completed, unless otherwise agreed in writing.
5. APPLICABLE LAW AND PLACE OF RESOLUTION OF DISPUTES
The provisions of the Consumer Protection Act or other regulations regarding consumer trade do not apply to contracts concluded with business customers.
Finnish law applies to the contract. Those sections of the Finnish law, the application of which would lead to the application of the laws of other countries, are not followed. All disputes arising from the contract will be resolved in the District Court of Helsinki, Finland.
6. OWNERSHIP & INTELLECTUAL PROPERTY
Ownership of all intellectual property rights of the products and services delivered under this agreement belongs without limitation to Kolme Cosmetics and/or its licensors. All intellectual property rights that have arisen during the term of this Agreement belong to Kolme Cosmetics and/or its licensors.
